Terms of Use

1. Acceptance of Terms

By creating an account or using Readme-AdSense, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use our services.

2. Eligibility

You must be at least 13 years old to use Readme-AdSense. By using our services, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Creation

• Provide accurate, complete, and current information
• Each user is assigned a unique identifier upon registration
• You are responsible for safeguarding your credentials and any activity under your account
• Notify us immediately of any unauthorized use at neighboredllc@neighboredllc.com

4. README Management

• Users may upload and manage README files associated with their projects
• We may remove or suspend content that violates these Terms, including illegal, infringing, or harmful content

5. Ad Revenue and Payments

• Revenue is generated through Google AdSense ads displayed around your README content, subject to AdSense’s terms
• You must connect a valid Stripe account for payouts
• We are not responsible for payment processing errors from Stripe or Google AdSense
• Payments may be withheld for suspected fraud or Terms violations
• Revenue Share: Readme-AdSense retains 30% of the total advertising revenue generated through Google AdSense ads displayed around your README content. The remaining 70% is payable to you, subject to AdSense and Stripe policies, payout thresholds, and account standing. Revenue is calculated based on final amounts reported and paid by Google AdSense. Readme-AdSense is not responsible for fluctuations, delays, or adjustments made by Google.

Deleting your Readme-AdSense account does not delete your Stripe or Google AdSense data. You must manage those accounts independently.

6. Content Ownership and License

• You retain ownership of uploaded content
• You grant us a worldwide, non-exclusive, royalty-free license to host, display, and distribute your content with ads
• You represent that you have all necessary rights to upload your content

7. Prohibited Conduct

• Upload malicious software or harmful content
• Manipulate ad impressions or clicks
• Infringe on IP, post defamatory or illegal content
• Harass or spam others
• Attempt to disrupt the platform or access it in unauthorized ways

8. Termination

• We may suspend or terminate your account for violations of these Terms or applicable laws
• Upon termination, your right to access the platform ends, but ownership, liability, and indemnification terms survive

9. Limitation of Liability

To the fullest extent permitted by law, Readme-AdSense and its affiliates are not liable for indirect or consequential damages. Total liability is limited to the amount paid to you in the previous 12 months.

10. Disclaimer of Warranties

Readme-AdSense is provided "as is" and "as available" without any warranties, including merchantability or fitness for a particular purpose. We do not guarantee uninterrupted service.

11. Indemnification

You agree to indemnify and hold harmless Readme-AdSense and affiliates from any claims arising from your content, use of the platform, or breach of these Terms.

12. Third-Party Services

We integrate with services like Google AdSense and Stripe. You agree to comply with their terms. We are not responsible for their availability or performance.

13. Changes to Terms

We may update these Terms. Changes will be posted on the website and may be emailed or shown in your dashboard. Continued use means you accept the new Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by Delaware law. Disputes shall be resolved via binding arbitration in Delaware under the American Arbitration Association, except for intellectual property matters, which may go to court.
